1. About These Terms

These Terms & Conditions ("Terms") govern your use of the Mesete website (mesete.com) and form the basis of any B2B transaction between Mesete ("Mesete," "we," "us") and you ("the Buyer," "you"). By accessing this website or placing an order, you agree to be bound by these Terms.

Mesete is an OEM/ODM smart pet product manufacturer. All transactions are business-to-business (B2B). We do not sell directly to consumers through this website.

2. Website Use

You may browse our website to learn about our products and services. You may not copy, reproduce, or redistribute any content from this website — including product images, specifications, and descriptions — without our prior written consent. All content is protected by copyright and intellectual property laws.

We strive to keep product information accurate, but specifications, images, and certifications shown are subject to change. Contact us for the latest product details before placing an order.

3. Inquiries & Quotations

Submitting an inquiry through our website does not constitute a binding order. We will review your requirements and provide a written quotation with pricing, MOQ, lead time, and payment terms. A quotation is valid for the period stated within it — typically 30 days from the date of issue.

4. Orders & Contracts

A binding contract is formed only when both parties sign a formal Sales Contract or Proforma Invoice (PI). Key commercial terms — including product specifications, quantity, unit price, total value, payment terms, delivery schedule, and applicable Incoterms — are set out in the contract or PI.

Minimum Order Quantity (MOQ): MOQ varies by product and customization level. The specific MOQ for your order will be stated in the quotation.

Payment Terms: Standard B2B payment terms apply — typically a deposit (e.g. 30% T/T) with order confirmation and the balance before shipment. Alternative terms may be negotiated for established relationships.

5. Product Specifications & Samples

We provide product samples upon request. Sample availability, cost, and delivery time depend on the product and any customization involved. Sample costs are typically credited against your first production order. The Buyer is responsible for verifying that samples meet their requirements before confirming a production order.

6. Quality & Compliance

Mesete products are manufactured to meet applicable international standards. Standard certifications (CE, FCC, RoHS, REACH) are available for our smart product lines. Additional regional certifications can be arranged as part of OEM/ODM projects — timelines and costs will be specified in the quotation.

Quality control inspections are conducted at multiple production stages. A final inspection report is available before shipment upon request.

7. Shipping & Delivery

Shipping terms (FOB, CIF, DDP, etc.) are agreed per contract. Lead times vary by product type, order volume, and customization requirements. We provide a realistic production schedule with every quotation. Mesete is not liable for delays caused by force majeure events, customs clearance, or carrier issues beyond our reasonable control.

8. Intellectual Property

For OEM projects: Mesete retains ownership of product designs, tooling, firmware, and software unless otherwise agreed in writing. The Buyer's branding (logos, packaging designs, trademarks) remains the Buyer's property.

For ODM projects: Ownership of new designs, tooling, and intellectual property developed specifically for the Buyer is governed by the terms of the development agreement. We respect client confidentiality — your product specifications and business information are not shared with other buyers.

9. Limitation of Liability

To the fullest extent permitted by law, Mesete's liability for any claim arising from a B2B transaction is limited to the value of the specific order to which the claim relates. We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or reputational harm.

Products must be used in accordance with provided instructions. Mesete is not liable for damage resulting from improper use, unauthorized modification, or failure to follow maintenance guidelines.

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or commercial information shared during the course of a business relationship. This includes product specifications, pricing, and customer details. Confidentiality obligations survive the termination of any contract.

11. Governing Law & Dispute Resolution

These Terms and any B2B contracts are governed by the laws of the People's Republic of China unless otherwise agreed in writing. Any dispute arising from these Terms or a related contract shall first be resolved through amicable negotiation. If negotiation fails within 30 days, either party may refer the dispute to arbitration in accordance with mutually agreed arbitration rules.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page. For existing orders, the Terms in effect at the time of contract signing apply. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
